Membership Terms & Conditions

The CarbonCred Card rewards scheme ("CarbonCred") is owned and operated by CarbonCred Limited ("The Company"), whose registered office is Unit 9, 2 Pinchin Street, London, E1 1SA.

Any reference to "the website" shall be interpreted as the web site issued and available at http://www.carboncred.com

This agreement outlines your obligations as a member and explains our obligations to you. By registering and enrolling as a CarbonCred “Member” you agree that you have read and understood this Agreement and to the following terms and conditions:

Acknowledgment & Acceptance

You must be a resident of the UK to qualify for a CarbonCred account.

Membership of CarbonCred is offered at the sole discretion of The Company. We reserve the right to refuse membership. Further, we reserve the right to terminate your CarbonCred account without notice at any time.

The Company may modify this agreement from time to time, with or without notice, and your continued membership of CarbonCred will be deemed as your acceptance of the new terms and conditions.

You are allowed one account per person. All CarbonCred earnings against deleted accounts will be forfeited. Accounts with different names and addresses but with the same account payee name will also be considered a duplicate account for these purposes.

If we detect suspicious activity on your account, we reserve the right to place your account on hold or suspend a transaction.

You agree to provide only true and accurate information to CarbonCred (including to any company associated with CarbonCred) at all times. The Member agrees to confirm that all information in The Member's personal profile is up-to-date and accurate.

You agree to remain bound by this Agreement (or such amended Agreement) for as long as you remain a Member or unless The Company terminates, suspends or otherwise limits access.

Earning CarbonCreds

CarbonCred operates in conjunction with various third party organisations and partners (hereinafter referred to as "Associates"). As a CarbonCred "Member" you will earn a percentage reward from a number of retailers as illustrated on the CarbonCred member's website.

It's important to note that all transactions you make are not with us but through and with the Associates web site directly. Associates make payments to The Company when you purchase from their web sites in accordance with specified conditions. In return, The Company credits The Member's account with CarbonCreds, which may be redeemed for CarbonCred Rewards.

Your CarbonCred account will only be credited when the Associate confirms your transaction which may happen quickly but some Associates process transactions after their returns policy date has expired. Should the goods be refunded or the sale otherwise reversed then the CarbonCred payment will not be made.

CarbonCred rewards can only be paid if you have gone into our web site first and then accessed the retailer's site via the link from the CarbonCred Stores area.

The Company will make every effort to ensure that retailer's are correctly reporting sales however we cannot be held responsible should the retailers systems fail to report back your sale.

All cash rewards made by an Associate and allocated to a Members account remain under the ownership of CarbonCred Limited until each CarbonCred has been redeemed by the Member. We reserve the right to cancel any CarbonCred allocated to a Member account, without any notice at any time.

Where transaction has been paid out to a member, but later reversed by an Associate, we reserve the right to claim the CarbonCred back.

Adjustments

The Company may from time to time adjust your Points account upwards or downwards in respect to accounting errors, non-payment from third parties, refunds issued, products returned or suspected fraud, for which The Company has full authority.

Redeeming

You agree that the first priority in redeeming your CarbonCreds is the allocation against the carbon footprint determined by the calculation completed at registration. Each month the Company will automatically allocate CarbonCreds against your carbon footprint as calculated by the Member and will deduct and purchase carbon credit's on the open market. Through this agreement you acknowledge and authorize the Company to purchase carbon credits on your behalf in accordance with their published procedures.

Your account will work on a monthly basis and will be updated during the final week of each month. At this time all CarbonCreds due will be added and the your carbon footprint balance from the previous month, either positive or negative, will be added to your account.

Thereafter you may redeemed your CarbonCreds for various CarbonCred Rewards, as published from time to time on the web site.

CarbonCreds have no cash value, but rewards may take the form of credits to an electronic 'money' system operated by merchants.

The Company reserves the right to limit the redemption of specific rewards and limit the number of rewards available at any particular point-spending level. CarbonCreds will be deducted from The Member's account once the reward is shipped.

CarbonCreds are valid for 2 years from the date of being awarded and must be redeemed within those 2 years. The Company reserves the right to remove all CarbonCreds awarded that are older than 2 years.

Claims & Disputes

Any member wishing to raise questions or disputes regarding the allocation of CarbonCreds or of any purchase from an Associate should do so in accordance with the instructions on www.carboncred.com web site.

All transactions are electronically logged and reported back to the Company by the Associate. However the Associates decision is final and should they not remit payment for a transaction then CarbonCreds will not be awarded.

Members should not contact our Associates regarding any issues related to the awarding and redemption of CarbonCreds, which is the sole responsibility of The Company. Any infringement of this condition may result in immediate termination of membership.

Unless specifically notified otherwise, all goods and services promoted by our Associates are provided solely by the named supplier, and The Company makes no warrant in respect to them. You must exchange defective products or goods by following the supplier-designated procedures.

Carbon credit purchase policy

CarbonCreds allocated to the Members account against their carbon footprint will be redeemed in accordance with the Company's published policy with respect to the purchase of carbon credits, which it may vary at its discretion. The Member may request this policy by contacting the Company.

The Company has made a commitment to purchase carbon credits of the highest caliber for its Members and wherever possible it will purchase Gold Standard approved CER and VER carbon credits. If through scarcity this is not possible then the Company will purchase Gold Standard compatible CER's.

It is and will remain the policy of the Company to retire all carbon credits purchased and allocated to any Member account thereby removing them from circulation. The retirement process will be included within the published CarbonCred policy and will be accredited by a recognized third party as appointed by the Company. The Member gives it’s consent to this retirement process by way of this agreement.

Tax

You are responsible for assessing any tax implications that may arise through redeeming CarbonCreds, and for the payment of any said taxes.

Transfers

CarbonCreds may not be transferred to other accounts nor pooled together in any manner. The sale or barter of CarbonCreds is strictly prohibited by The Company.

Communication

It is a condition of membership that the Member provides a valid email address and postal address, and The Company reserves the right to send Members messages from time to time.

At no time is the Company under an obligation to provide Members with any particular number of point-earning opportunities or send messages to them.

The Company does not pass any details to third party companies which may personally identify you, except where you have explicitly given The Company permission to do so or as required by law.

Termination

Both parties may terminate this Agreement at any time with or without cause. Membership immediately ceases upon termination and any unredeemed CarbonCreds shall be immediately cancelled and any entitlement the Member may have is forfeited. The Company shall be the sole determiner in cases of suspected abuse, fraud, or violation of its rules and any decision it makes relating to termination of membership (including cancellation of CarbonCreds) shall be final and binding.

Should a Member expressly request that their account be terminated, no further communication will be entered into between The Company and the Member.

Inter-member communication

Discussion forums, private messaging and other means of inter-member communication should be used in accordance with the Terms of Use and guidelines as published by the Company. The Company reserves the right to withdraw such facilities from a Member and / or terminate their membership if the Company in its sole discretion determines that the Member's use of such facilities is in breach of these Terms and Conditions or otherwise contrary to the interests of the Company.

All communication on any inter-member communication medium is beyond the control of the Company and the Company can accept no responsibility for the accuracy or otherwise of communications made by other Members using these facilities. Complaints about such communications should be made in writing to The Company at its head office.

Warranty

The CarbonCred programme is offered "as is" without warranty, to the maximum extent as permitted by the law. The Company disclaims any representation and warranties, express or implied, with respect to the scheme, including, but not limited to, implied warranties of merchantability and fitness for any particular purpose.

The Company does not make any warrant, guarantee, or make any representations regarding the quality of, or assurance of any advertisement or any merchandise, products, or services offered or provided by Associates or any third party companies participating in the CarbonCred programme.

Dormant Accounts

In the event that a Members account is showing no transactions for a period exceeding 12 months then the Company reserve the right to terminate that account.

Modification of Agreement

The Company may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion by posting a revised agreement on the www.CarbonCred.com web site.

Miscellaneous

This Agreement will be governed by the laws of the United Kingdom, without reference to rules governing choice of laws.

Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
